Acquisitions and Dispositions
We have extensive experience in major, complex real estate acquisitions and dispositions, and have completed transactions for the acquisition or disposition of a wide variety of real property assets, including hospitality, office, retail-commercial, industrial and multi-family. We handle all aspects of transactions, from the structure of the entity and the transaction at the outset of the deal, through the closing. Our core strengths in this area include:
- Document negotiation and preparation, including analysis and advice as to the risk of each proposed action or position;
- Title and survey review, and title policy and endorsement negotiation with opposing counsel and the title insurer;
- The coordination and direction of due diligence (both at the entity level and at the real property level);

Financing and Lending
Our firm is experienced in many aspects of real estate secured financing transactions for acquisition, development, construction and permanent financing, whether representing borrowers or lenders. We have represented real estate investors, owners, developers and builders as borrowers, while lender clients have included private parties and banking institutions. Our real estate finance practice can assist with the negotiation or preparation of loan commitment letters and loan documentation, due diligence investigations, review of title and survey, preparation of legal opinion letters, escrow services, issuance of title insurance, and conducting loan closings.
Representing lenders in transactions is a significant part of our work. We have worked with participating and agent banks in syndicated transactions, drafting the necessary documents and advising on the relationships of the agent to the participants, of the participants among themselves, and of the lending group to the borrower. We are experienced in financing transactions for asset and stock acquisitions, real estate acquisitions and development, construction loans, trade finance, asset-based lending, as well as general working capital finance.
We have extensive experience representing both landlords and tenants in all types of property leases, including office buildings, retail shopping centers, industrial complexes, manufacturing facilities, warehouses, restaurants, and hotels. We have extensive experience with respect to all facets of retail leasing, from both landlord and tenant perspective, with particular emphasis on urban retail, shopping centers, enclosed malls, entertainment projects and “big box” and in-line national tenants.
We have also assisted in the negotiation and documentation of specialized leasing transactions and collateral leasing concerns including ground leases, sale-leaseback, lease-option arrangements, subordination/non-disturbance and attornment agreements, estoppel certificates, and property management agreements. By relying on our legal and business experience, we help tailor practical solutions to our clients’ often difficult and complex problems.
We help negotiate and abate ad valorem property tax assessments for select residential and commercial property owners within Central Florida. Our firm will review your property tax assessment, and negotiate your taxes with the Value Adjustment Board, property appraiser, and coordinate the filing of property tax appeal lawsuits.
